By accessing and using Eventsona ("Service", "Platform", "we", "us", or "our"), a product of Ordafy Limited (Company Number: 16063522), registered in England and Wales, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services. Your continued use of the Service constitutes acceptance of any modifications to these terms.
2. Definitions
- "User" refers to any individual or entity accessing or using the Service
- "Organizer" refers to users who create and manage events on the Platform
- "Attendee" refers to users who purchase tickets or register for events
- "Venue Owner" refers to users who list and manage venues on the Platform
- "Affiliate" refers to users who participate in our affiliate referral program
- "Content" refers to all information, data, text, images, and materials on the Platform
- "Event" refers to any gathering, conference, concert, or activity listed on the Platform
- "Venue" refers to any physical space listed for booking on the Platform
- "Venue Booking" refers to a reservation of a venue for an event
- "Ticket" refers to a digital or physical pass granting access to an event
- "Commission" refers to earnings from the affiliate referral program
- "Release" (or "release of funds") means Eventsona's transfer of eligible funds to an organizer's or venue owner's connected Stripe account. Funds are payable only after eligibility conditions (e.g. event end, refund window) are met.
- "Payout" (to bank) means the organizer's or venue owner's action of sending funds from their Stripe balance to their bank account (e.g. via Stripe Embedded Payouts).
3. Eligibility and Account Registration
To use our services, you must meet the following requirements:
- You must be at least 18 years old or the age of majority in your jurisdiction
- You must provide accurate, current, and complete information during registration
- You must maintain the security and confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized access or security breach
- You may not create multiple accounts or share your account with others
- You may not use automated systems or bots to create accounts
- We may require identity verification, business verification, or Stripe onboarding before enabling certain features such as payouts or venue listings
4. User Conduct and Prohibited Activities
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Violate any laws, regulations, or third-party rights
- Post false, misleading, or fraudulent information
- Impersonate any person or entity
- Harass, abuse, or harm other users
- Distribute spam, malware, or viruses
- Attempt to gain unauthorized access to our systems
- Scrape, crawl, or data mine the Platform without permission
- Interfere with or disrupt the Service
- Create events that promote illegal activities, hate speech, or violence
- Sell or transfer your account to another party
5. Event Organizer Responsibilities
As an Event Organizer, you are responsible for:
- Providing accurate and complete event information
- Ensuring your event complies with all applicable laws and regulations
- Obtaining necessary permits, licenses, and insurance
- Fulfilling all ticket sales and honoring purchased tickets
- Handling customer service and attendee inquiries
- Processing refunds according to your stated refund policy
- Maintaining appropriate venue capacity and safety measures
- Protecting attendee data and privacy
- Paying all applicable taxes on ticket sales
- Notifying attendees of any event changes or cancellations
- Managing ticket inventory and preventing overselling
- Ensuring venue compliance and safety standards when booking venues
Eventsona is not responsible for the conduct of events or the actions of organizers. We reserve the right to remove events that violate our policies or applicable laws.
5.1 Venue Owner Responsibilities
As a Venue Owner, you are responsible for:
- Providing accurate venue information, including capacity, amenities, and availability
- Maintaining accurate calendar availability and promptly updating booking status
- Honoring confirmed bookings and providing the venue as described
- Ensuring venue compliance with local laws, building codes, and safety regulations
- Obtaining necessary permits, licenses, and insurance for venue operations
- Setting clear pricing, deposit requirements, and cancellation policies
- Responding promptly to booking inquiries and requests
- Conducting check-in and check-out procedures professionally
- Reporting any damages or issues promptly and accurately
- Protecting organizer and attendee data shared through the platform
- Paying all applicable taxes on venue booking revenue
Eventsona facilitates venue bookings but is not responsible for the condition of venues or the conduct of venue owners. We reserve the right to remove venues that violate our policies or applicable laws.
5.2 Venue Booking Terms
5.2.1 Booking Process
Venue bookings are subject to availability and venue owner approval. Bookings may require a deposit to secure the reservation. The remaining balance is typically due before or at the event date, as specified by the venue owner.
5.2.2 Cancellation Policy
Cancellation policies are set by individual venue owners and may vary. Cancellation fees and refund eligibility depend on the timing of cancellation and the venue's stated policy. Eventsona facilitates refunds but does not guarantee them.
5.2.3 Venue Fees
Venue booking fees include:
- Base venue rental fee (set by venue owner)
- Platform service fee: 10% of booking total (minimum $0.95). All-inclusive fee that covers payment processing.
- Cleaning fees, security deposits, and other charges as specified by the venue owner
5.2.4 Venue Condition and Damages
Organizers are responsible for leaving the venue in the same condition as received. Venue owners may charge for damages, excessive cleaning, or violations of venue rules. Disputes regarding damages will be resolved between the organizer and venue owner, with Eventsona facilitating communication when needed.
5.3 Affiliate Program Terms
5.3.1 Affiliate Eligibility
To become an affiliate, you must apply through our platform and receive approval from Eventsona. Affiliate accounts are subject to review and may be suspended or terminated for violations of these Terms or our Affiliate Program policies.
5.3.2 Commission Structure
Affiliates earn commissions on:
- Ticket sales: Commission on platform fees from events created by referred organizers
- Venue bookings: Commission on platform fees from venue bookings made by referred organizers
- Commission rates are determined by Eventsona and may vary by affiliate tier or promotional periods
- Commissions are calculated on platform fees only, not on total transaction amounts
5.3.3 Commission Payouts
Commissions become available for payout after:
- Events have ended and there are no active disputes
- Venue bookings have been completed and checked out
- All refund periods have expired
- Minimum payout threshold has been reached
Payouts are processed via Stripe Connect. Affiliates must complete Stripe onboarding to receive payouts. Eventsona reserves the right to withhold payouts in cases of fraud, disputes, or policy violations.
5.3.4 Prohibited Affiliate Activities
Affiliates are prohibited from:
- Self-referring (referring your own events or organizations)
- Using spam, deceptive marketing, or fraudulent practices
- Creating fake accounts or manipulating referral tracking
- Violating intellectual property rights in marketing materials
- Making false or misleading claims about Eventsona or its services
6. Payments, Fees, and Financial Terms
6.1 Payment Processing
All payments are processed through Stripe, our third-party payment processor. By using our Service, you agree to Stripe's terms and conditions. We do not store your complete payment card information. Eventsona supports multiple currencies and payment methods globally.
6.2 Event Ticketing Fees
Eventsona charges a platform fee on each ticket sale, which includes:
- Platform service fee: 7% per ticket (minimum $0.75, maximum $50). All-inclusive fee that covers payment processing.
- Free events: $0 per ticket registration
Fees are clearly disclosed during event creation and checkout. Organizers can choose to absorb fees or pass them to attendees.
6.3 Venue Booking Fees
For venue bookings, Eventsona charges:
- Platform service fee: 10% of the total booking amount (minimum $0.95). All-inclusive fee that covers payment processing.
- Additional fees may apply for deposits, cleaning fees, and other charges as specified by venue owners
Venue booking fees are clearly displayed before confirmation. Organizers are responsible for all fees associated with their venue bookings.
6.4 Fund Holding and Payouts to Organizers (Option A)
Customer payments for event tickets are received by Eventsona and held by the platform until eligibility conditions are met. Funds are payable to organisers only after eligibility conditions are met (as defined below). Until then, funds remain on the platform; Eventsona does not hold funds "on behalf of" organisers, and organisers do not have ownership of or a right to withdraw those funds before release.
Payouts to organizers are subject to Eventsona's eligibility rules and refund window:
- Event must have ended
- A refund holding period (e.g. 2 days after the event) must have passed
- No active disputes or chargebacks on the relevant orders
- Minimum release threshold: $0
- Organizer's Stripe Connect account must be in good standing
When eligible, Eventsona releases (transfers) funds to the organizer's connected Stripe account. After release, organizers may pay out to their bank via Stripe (e.g. Stripe Embedded Payouts). Payout Methods: Organizers receive releases via Stripe Connect. Manual payout requests (if offered) are reviewed and processed within 1-2 business days after approval. Please ensure your Stripe and bank details are accurate and verified.
Payout fees charged by Stripe may apply when organizers withdraw released funds to their bank account. These fees are set by Stripe and are visible in the organizer's Stripe dashboard.
6.5 Payouts to Venue Owners
Venue booking revenue is received by Eventsona and held until eligibility conditions are met. Funds are payable to venue owners after eligibility conditions are met (booking completed, refund window passed, no active disputes, Stripe Connect in good standing). Eventsona does not hold funds "on behalf of" venue owners before release.

- Deposit payouts: Processed separately according to venue owner's deposit policy
- Minimum release threshold: $10
- Releases require completed Stripe Connect onboarding
Payout fees charged by Stripe may apply when venue owners withdraw released funds to their bank account. These fees are set by Stripe and are visible in the venue owner's Stripe dashboard.
6.6 Affiliate Commission Payouts
Affiliate commissions are paid out according to:
- Commissions become available after events end and venue bookings complete
- Minimum payout threshold: $25
- Payouts processed via Stripe Connect (affiliates must complete onboarding)
- Commission payouts may be delayed in cases of disputes or fraud investigations
Payout fees charged by Stripe may apply when affiliates withdraw funds to their bank account. These fees are set by Stripe and are visible in the affiliate's Stripe dashboard.
6.7 Refunds and Chargebacks
Refund policies are set by individual event organizers and venue owners. Eventsona facilitates refunds but does not guarantee them. Refunds may be processed from platform-held funds (before release) or, if funds have already been released to the organizer or venue owner, from their Stripe account; in the latter case, our refund recovery process may apply (see our refund runbook and support documentation).
In case of chargebacks, organizers and venue owners are responsible for providing evidence to dispute fraudulent claims. Excessive chargebacks may result in account suspension.
For venue bookings, refunds are subject to the venue owner's cancellation policy. Eventsona will process refunds according to the stated policy, minus any applicable platform fees.
6.8 Multi-Currency Support
Eventsona supports transactions in multiple currencies. Currency conversion is handled by Stripe at current exchange rates. Organizers and venue owners receive payouts in their selected currency. Exchange rate fluctuations may affect final payout amounts.
6.9 Taxes
Organizers and venue owners are responsible for collecting, reporting, and remitting all applicable taxes on ticket sales and venue bookings. Eventsona provides transaction reports but does not provide tax advice. Consult a tax professional for guidance. Affiliates are responsible for reporting and paying taxes on commission earnings according to their local tax laws.
6.10 Ticket Management and Transfers
Eventsona provides comprehensive ticket management features:
- Digital tickets with QR codes for secure check-in
- Ticket transfers between attendees (subject to organizer settings)
- Multiple ticket types and pricing tiers per event
- Group packages and early bird discounts
- Waitlist management for sold-out events
- Real-time inventory tracking and capacity management
Organizers control ticket transfer policies and refund terms. Attendees must comply with organizer policies and Eventsona's terms when transferring or reselling tickets.
7. Intellectual Property Rights
7.1 Platform Ownership
The Eventsona platform, including all content, features, functionality, software, code, designs, logos, trademarks, and service marks, is owned by Ordafy Limited (Company Number: 16063522), registered in England and Wales.
7.2 User Content License
By posting content on the Platform, you grant Eventsona a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform your content in connection with operating and promoting the Service. You retain all ownership rights to your content.
7.3 Copyright Infringement
We respect intellectual property rights and expect users to do the same. If you believe your copyright has been infringed, please contact us at support@eventsona.com with detailed information. We will investigate and take appropriate action, including removing infringing content and terminating repeat offenders' accounts.
8. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.
8.1 GDPR Compliance
For users in the European Economic Area (EEA), we comply with the General Data Protection Regulation (GDPR). You have the right to:
- Access your personal data
- Rectify inaccurate data
- Request deletion of your data (right to be forgotten)
- Object to processing of your data
- Data portability
- Withdraw consent at any time
8.2 Data Security
We implement industry-standard security measures to protect your data, including encryption, secure servers, and regular security audits. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.
9. Disclaimers and Limitation of Liability
9.1 Service "As Is"
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
9.2 No Guarantee of Events
Eventsona does not guarantee the quality, safety, or legality of events listed on the Platform. We are not responsible for event cancellations, changes, or organizer conduct. Attendees assume all risks associated with attending events.
9.3 No Guarantee of Venues
Eventsona does not guarantee the quality, safety, condition, or legality of venues listed on the Platform. We are not responsible for venue cancellations, changes, or venue owner conduct. Organizers assume all risks associated with booking and using venues. We recommend conducting venue inspections before finalizing bookings.
9.4 No Guarantee of Affiliate Commissions
Eventsona does not guarantee that affiliates will earn commissions. Commissions are subject to successful referrals, event completion, venue booking completion, and compliance with our affiliate program terms. We reserve the right to withhold or reverse commissions in cases of fraud, policy violations, or disputes.
9.5 Limitation of Liability
To the maximum extent permitted by law, Eventsona shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or data
- Business interruption
- Personal injury or property damage
- Unauthorized access to your account
- Errors or omissions in content
- Third-party conduct or content
Our total liability shall not exceed the greater of (a) $100 or (b) the amount you paid to Eventsona in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Eventsona, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your content or events
- Your conduct as an organizer or attendee
11. Dispute Resolution and Arbitration
11.1 Informal Resolution
Before filing a claim, you agree to contact us at support@eventsona.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 30 days.
11.2 Binding Arbitration
Where permitted by applicable law, if informal resolution fails, disputes may be resolved through binding arbitration in accordance with the Arbitration Rules of the London Court of International Arbitration (LCIA). Arbitration will be conducted in London, United Kingdom, or another mutually agreed location. Nothing in this clause limits your statutory rights as a consumer in your jurisdiction.
11.3 Class Action Waiver
You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.
12. Termination and Suspension
We reserve the right to suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Excessive chargebacks or refund requests
- Abuse of the Platform or other users
- Non-payment of fees
- Inactivity for extended periods
Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Platform at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Kingdom, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the courts located in London, United Kingdom.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Eventsona regarding the Service.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
15.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
